1. Scope

These terms govern sales by [Legal name — Infinity Products SL] ([CIF], [registered address], Spain) to professional buyers. They apply unless replaced by a individually signed supply agreement, which prevails where more specific.

2. Quotations and orders

Quotations are valid for [•] days unless otherwise stated. Fresh products are quoted subject to availability and market conditions; a quotation confirms product, specification, volume, packaging, Incoterm and destination for a given period. An order is binding upon written confirmation by the seller.

3. Price and payment

Prices are stated in Euro ([or other currency]) under the agreed Incoterm (Incoterms® 2020), excluding taxes, duties and charges at destination unless expressly included. Payment terms are [•]. Late payments accrue interest at the statutory rate applicable in Spain for commercial transactions.

4. Delivery and risk

Delivery terms follow the agreed Incoterm. Risk transfers in accordance with the applicable Incoterm. Delivery dates are estimates; for fresh products, logistics schedules may be adjusted for reasons of availability, transport or force majeure, with prompt notice to the buyer.

5. Product conformity and claims

Products conform to the written specification agreed per order. For fresh goods, the buyer must inspect on arrival and submit any conformity claim in writing within [24/48] hours of receipt, stating product, lot and observed deviation, supported by photos and temperature records where available. After that period, the products are deemed accepted.

6. Traceability and compliance

Products are accompanied by the documentation required for the agreed market (commercial invoice, packing list, health certificates and, where applicable, catch certificates and statements of origin). The buyer is responsible for compliance with import requirements of the destination market.

7. Liability

Seller's liability for any claim is limited to the invoiced value of the affected goods, save in cases of wilful misconduct or gross negligence. Seller is not liable for indirect or consequential loss, including loss of profit.

8. Applicable law and jurisdiction

These terms are governed by Spanish law. Disputes are submitted to the courts of [city], Spain, without prejudice to mandatory consumer protections (not applicable to B2B sales).
